Terms of Service

These Terms of Service govern your use of fixedlabs.ai and the AI Assessment services provided by Fixed Labs AI. By submitting our intake form, making a payment, or using our services in any way, you agree to be bound by these Terms. If you do not agree, do not use our services.

These Terms of Service ("Terms") are a legally binding agreement between you ("Client," "you") and Fixed Labs AI ("Fixed Labs," "we," "us"), a US-based business providing AI-assisted business assessment services.

By using our services, you confirm that you are at least 18 years old, have authority to bind yourself or any business entity you represent, and have read and agree to these Terms.

Fixed Labs AI provides a one-time AI Tools Assessment service consisting of a qualification intake form to gather information about your business, a discovery consultation call with a Fixed Labs AI team member, a custom assessment report identifying AI tools and workflow improvements relevant to your business delivered via a digital presentation platform, and a review call to discuss the report findings and answer questions.

Our assessment is an informational service. It does not constitute professional technology consulting, legal advice, financial advice, accounting advice, or any other professional advisory service that requires licensure. Nothing in your assessment report creates a professional advisory relationship or imposes ongoing obligations on Fixed Labs AI.

All recommendations in your report are provided for informational purposes only. Whether and how you implement any recommendation is entirely at your discretion and risk. Fixed Labs AI is not responsible for the performance, cost, compatibility, or outcome of any third-party tool or software we recommend.

Fixed Labs AI uses artificial intelligence tools to assist in analyzing information shared during your discovery call and generating your assessment report. All AI-generated content is reviewed by a member of our team before delivery. We do not use fully automated decision-making systems that produce decisions about you without human involvement.

Because AI-generated content may contain inaccuracies or omissions, we strongly encourage you to evaluate all recommendations independently before implementation.

Our services are available to US-based businesses with annual revenues of $1,000,000 or more, and to business owners, operators, or authorized representatives with authority to enter into this agreement.

By submitting our intake form, you confirm that your business meets the revenue threshold. We reserve the right to verify eligibility and decline or refund any purchase at our sole discretion if eligibility requirements are not met.

The fee for the AI Tools Assessment is $999.00 USD, payable in full at the time of booking. This is a one-time fee with no subscription, retainer, or recurring charges.

All payments are processed securely through our payment processor. Fixed Labs AI does not store your credit card or financial account information. By completing payment, you authorize the charge to your selected payment method.

All fees are quoted in US dollars. You are responsible for any applicable taxes, currency conversion fees, or charges imposed by your bank or card issuer.

We will deliver your assessment report within 48 hours of your completed discovery call. "Completed" means a call of at least 30 minutes in which you meaningfully participated in the consultation.

If a delay occurs, we will notify you before the 48-hour deadline and provide a revised timeline. If we fail to deliver within 48 hours without prior notice, you may be eligible for a refund as described in the Refund Policy.

Our full Refund Policy is available at fixedlabs.ai/refund-policy and is incorporated into these Terms by reference.

In summary, a full refund may be available if you cancel at least 24 hours before your discovery call, or if we fail to deliver your report within 48 hours without prior notice. Refunds are not available after your report has been delivered or for cancellations made less than 24 hours before your call. Our guarantee covers delivery of a relevant, custom assessment, not specific business outcomes after implementation.

EU and UK consumers have additional statutory cancellation rights as described in our Refund Policy.

By booking a discovery call, you consent to the call being recorded and transcribed for the purpose of building your assessment report. You will be notified at the start of the call. Recordings are deleted 90 days after report delivery. Transcripts are retained for 3 years.

You may withdraw recording consent before the call begins. If you do, our team will take manual notes, which may affect the comprehensiveness of your report.

Upon full payment, we grant you a non-exclusive, non-transferable license to use your assessment report for your internal business purposes. You may not resell, republish, or distribute the report without our written consent.

All Fixed Labs AI website content, branding, methodologies, templates, and materials are our exclusive intellectual property. You receive no ownership rights to any of these through your use of our services.

You retain all rights to the business information you share with us. By sharing it, you grant us a limited license to use it solely to deliver your assessment.

If you provide a testimonial or feedback, you grant Fixed Labs AI a perpetual, royalty-free license to use it for marketing purposes, including on our website and social media channels.

We treat all business information you share with us as confidential and will not disclose it to third parties except as necessary to deliver your assessment, such as sharing transcript content with our AI processing service, or as required by law.

To the maximum extent permitted by applicable law, Fixed Labs AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from or related to these Terms or our services.

Our total liability for any claim arising from or related to our services shall not exceed the total amount you paid to Fixed Labs AI in the twelve months preceding the claim.

Some jurisdictions do not allow certain liability exclusions. Where such limitations are not permitted by law, our liability is limited to the fullest extent allowed.

Our services are provided "as is" without warranties of any kind, express or implied. We do not warrant that our services will meet your specific requirements, that AI-generated recommendations will be error-free, or that implementation of any recommendation will produce any particular business outcome.

You agree to defend, indemnify, and hold harmless Fixed Labs AI and its owners, partners, and team members from any claims, liabilities, damages, or expenses, including reasonable legal fees, arising from your violation of these Terms, your use of our services, or your implementation of any recommendations from your assessment report.

Before initiating any formal proceedings, you agree to contact us at manuel@fixedlabs.ai with a written description of the dispute and proposed resolution. We will attempt to resolve the matter within 30 days.

If informal resolution fails, any dispute arising from these Terms or our services will be resolved by binding arbitration under the rules of the American Arbitration Association. Arbitration will take place in Delaware. The arbitrator's decision will be final and binding.

You and Fixed Labs AI each waive the right to participate in class action litigation or class arbitration. All disputes must be brought in an individual capacity.

Nothing in these Terms limits statutory rights available to EU or UK consumers under applicable local law, including rights to pursue disputes through local courts or consumer protection bodies.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

These Terms, our Privacy Policy, and our Refund Policy constitute the complete agreement between us regarding our services.

If any provision is unenforceable, the remaining provisions continue in full effect. Our failure to enforce any right is not a waiver of that right.

You may not assign your rights under these Terms. We may assign ours in connection with a business transfer. We are not liable for delays or failures caused by events outside our reasonable control.

We may update these Terms at any time. Material changes will be communicated by updating the effective date and posting a notice on our website.
